1. Agreement to Terms
By accessing and using the services provided by MKHITARYAN VV LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

3. Client Responsibilities
As a client, you agree to:

- Make timely payments as agreed in project contracts
- Respect intellectual property rights
- Not use our services for any illegal or unauthorized purpose
4. Intellectual Property Rights
Unless otherwise specified in a written agreement, all intellectual property rights in custom-developed software and deliverables will be transferred to the client upon full payment. However, we retain rights to:
- Pre-existing code, frameworks, and tools we developed
- General methodologies and processes
- Our company branding and marketing materials
Any third-party software, libraries, or tools used in projects remain subject to their respective licenses.
5. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Projects may require an initial deposit before work begins
- Milestone payments may be required for larger projects
- Final payment is due upon project completion and acceptance
- Late payments may incur interest charges as specified in the agreement
All fees are non-refundable unless otherwise stated in writing. We reserve the right to suspend services for non-payment.
6. Project Scope and Changes
Project scope will be defined in written agreements. Any changes to the scope may result in:
- Additional time required for completion
- Additional costs
- Revised delivery timelines
All scope changes must be agreed upon in writing by both parties before implementation.
7. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner. However, we make no warranties regarding:
- Uninterrupted or error-free service
- Results that meet specific business objectives
- Compatibility with all systems or third-party services
Our services are provided "as is" to the extent permitted by law. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, MKHITARYAN VV LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
Our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project or service in question.
9. Confidentiality
We understand the importance of confidentiality and will:
- Keep all client information and project details confidential
- Not disclose information to third parties without consent
- Use information solely for the purpose of providing services
- Maintain confidentiality obligations even after project completion
Confidentiality obligations do not apply to information that is publicly available or independently developed by us.
10. Termination
Either party may terminate a project agreement with written notice. Upon termination:
- You will pay for all work completed up to the termination date
- We will deliver all completed work and documentation
- Confidentiality obligations will continue
We reserve the right to terminate services immediately for breach of these Terms or non-payment.
11. Dispute Resolution
Any disputes arising from these Terms or our services will be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, mediation in Yerevan, Armenia
- If mediation fails, binding arbitration under Armenian law
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia. Any legal proceedings shall be conducted in the courts of Yerevan, Armenia.

14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with any project-specific agreements, constitute the entire agreement between you and MKHITARYAN VV LLC regarding the use of our services, superseding all prior agreements and understandings.
